Are you a corporate transactional and commercial lawyer seeking an exciting In House opportunity for the head office of a thriving, innovative and well-established company, then Life After Law has the ideal opportunity for you! This position can be remote.

Our client, a dynamic and growing company, is seeking a lawyer with approximately 3-5 years of strong corporate m & a experience to work as a Legal Counsel and also assist with commercial matters and report directly to their VP, Legal Affairs. This is an excellent opportunity to work on sophisticated m & a transactions, commercial files and litigation management in a fast-paced and collaborative work environment. U.S. cross-border expertise and/or experience in the health sector is considered an asset.

Responsibilities:

• Draft and negotiate various corporate agreements, such as: m & a, share purchase, asset purchase agreements, and shareholder contracts etc. as well as different commercial agreements;
• Provide legal advice on corporate transactions and commercial matters, evaluate legal risks and oversee litigation files;
• Ensure that contracts are in compliance with applicable rules, laws and regulations as well as with senior management directives;
• Draft and implement various corporate policies; and
• Provide support and advice to different business units re: legal matters.

Requirements:

The ideal candidate will:

• Be a lawyer in good standing with the Quebec Bar;
• Have approximately 3-5 years of strong corporate m & a transactional experience and commercial expertise;
• Be able to work autonomously with minimal supervision;
• Have solid business acumen and be a strong team player;
• Possess excellent attention to detail, interpersonal skills and professionalism;
• Be bilingual with strong English skills;
• Experience in US corporate matters is considered an asset; and
• Experience in the health sector is also considered an asset.
