Responsibilities:
- Draft and negotiate various corporate agreements, such as: m & a, share purchase, asset purchase agreements, and shareholder contracts etc. as well as different commercial agreements;
- Provide legal advice on corporate transactions and commercial matters, evaluate legal risks and oversee litigation files;
- Ensure that contracts are in compliance with applicable rules, laws and regulations as well as with senior management directives;
- Draft and implement various corporate policies; and
- Provide support and advice to different business units re: legal matters.
The ideal candidate will:
- Be a lawyer in good standing with the Quebec Bar;
- Have approximately 3-5 years of strong corporate m & a transactional experience and commercial expertise;
- Be able to work autonomously with minimal supervision;
- Have solid business acumen and be a strong team player;
- Possess excellent attention to detail, interpersonal skills and professionalism;
- Be bilingual with strong English skills;
- Experience in US corporate matters is considered an asset; and
- Experience in the health sector is also considered an asset.
