Mitchell Finkelstein, un ex-associé de Davies Ward Phillips & Vineberg et des employés de Marchés mondiaux CIBC de Montréal sont accusés d'avoir pris part à des transactions illicites, selon une information de Argent.

L’avocat se serait rendu coupable de délit d’initié, en transmettant des informations privilégiées, portant sur des acquisitions d’entreprises non encore rendues publiques, à d’anciens employés de Marchés Mondiaux CIBC à Montréal, les courtiers Paul Azeff et Korin Bobrow.

Les faits se seraient produits entre novembre 2004 et mai 2007 et porteraient notamment sur les rachats de Masonite International par Kohlberg Kravis Roberts & Co. (KKR) (une transaction citée dans la biographie de l'avocat sur le site de Davies) et de Placer Dome Inc. par Barrick Gold Corp, précise Argent.

Basé à Toronto, Mitch Finkelstein était associé des groupes Fusions&Acquisitions et Valeurs mobilières de Davies.

En 2007, il a été nommé par le Magazine Lexpert comme un des leaders de moins de 40 ans.

"Mitch Finkelstein is a partner in the Corporate Finance & Securities and Mergers & Acquisitions practices.

He has acted for clients in a broad range of transactions, including domestic and cross-border takeover bids and business combinations, acquisitions and dispositions of private companies, public and private offerings of equity, debt and structured products, and bank and mortgage financings.

He also advises public companies on Canadian securities regulation and corporate governance matters on an ongoing basis.

Representative Work

•Acted extensively in the real estate investment trust field, playing a lead role in the IPOs and follow-on offerings of bank, mezzanine and mortgage financings for IPC US REIT and InnVest REIT. Mitch also represented IPC US REIT in its public sales process and ultimate sale to Behringer Harvard REIT I, Inc. in a transaction valued at approximately US$1.4 billion.

•Represented InnVest REIT and Cadbridge Investors LP, a joint venture entity between affiliates of Cadim Inc., a division of the Caisse de dépôt et placement du Québec, and Westmont Hospitality Group, in a takeover bid for all of the outstanding units of Legacy Hotels REIT. The deal was valued at approximately $2.5 billion. He also represented InnVest in its bought deal of $200 million of subscription receipts and $70 million of convertible extendible unsecured subordinated debentures in order to partially fund its acquisition of Legacy REIT.

•Represented Starwood Capital Group in the establishment of a US$452 9 million senior secured subscription line credit facility with Credit Suisse First Boston and a US$148.5 mortgage loan with Column Financial Inc.

•Represented CIBC World Markets, Scotia Capital Inc. and a syndicate of underwriters in the $215 million IPO and subsequent follow-on offering of Crombie REIT.

Represented Masonite International Corporation in its acquisition of Stile Acquisition Corp., an affiliate of Kohlberg Kravis Roberts & Co. The transaction was valued at approximately US$3.1 billion.
